1Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Agency User", "you", "your") and Automation Titan ("we", "us", "our") governing your access to and use of our white-label AI business operating system, including the website, platform, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2Description of Service

Automation Titan provides a software-as-a-service (SaaS) platform that enables digital marketing agencies to deliver CRM, WhatsApp automation, AI agents, website/funnel building, LMS, community, finance, and related business tools under their own brand to their clients ("Sub-Account Users"). The underlying technology infrastructure is operated by Automation Titan and its technology partners.

3White Label & Sub-Account License

Subject to your subscription plan and continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Rebrand the Service with your own company name, logo, and domain ("White Label") on eligible plans.
• Create sub-accounts for your clients up to the limit specified in your plan (5 for Starter, 25 for Growth Agency, unlimited for Black Label).
• Set your own pricing and billing terms with your clients. Automation Titan has no contractual relationship with your Sub-Account Users.

You may not represent the Service as being independently developed by you without disclosing your use of underlying third-party technology where required by applicable consumer protection law.

4Account Registration & Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of your business. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5Subscription, Billing & Pricing

• Subscription fees are billed in advance on a monthly or quarterly basis as selected at checkout, in your local currency (INR, GBP, or USD) where available.
• Prices displayed on our website are standard retail rates. Discounted partner pricing, where applicable, is provided separately during onboarding calls and documented in your specific agreement.
• All fees are exclusive of applicable taxes (GST, VAT, sales tax) unless stated otherwise.
• Failure to pay may result in suspension or termination of your account after a grace period communicated via email.
• You are solely responsible for billing your own Sub-Account Users; we are not party to those transactions.

6Acceptable Use Policy

You agree not to use the Service to:

• Send unsolicited bulk messages (spam) in violation of applicable law (CAN-SPAM, TCPA, PECR, IT Act, or similar).
• Transmit content that is illegal, defamatory, harassing, fraudulent, or infringes third-party rights.
• Attempt to reverse-engineer, decompile, or gain unauthorized access to the Service's underlying technology.
• Resell or sub-license the platform to other agencies without authorization (sub-accounts for your own end-clients are permitted; reselling agency-level access is not, unless on a Black Label plan with explicit reseller rights).
• Use the Service to build a directly competing white-label SaaS automation platform.

7WhatsApp & Communication Compliance

You are solely responsible for ensuring that messaging campaigns sent through the platform (WhatsApp, SMS, Email) comply with all applicable laws including, but not limited to, Meta's WhatsApp Business Policy, the US TCPA, UK PECR, EU ePrivacy Directive, and India's TRAI regulations. This includes obtaining proper consent from recipients before sending marketing communications. Automation Titan is not liable for misuse of communication tools by you or your Sub-Account Users.

8AI Features & Limitations

AI Agents and AI-generated content are provided "as is." While we strive for accuracy, AI-generated responses may occasionally be incorrect, incomplete, or inappropriate. You are responsible for reviewing and supervising AI agent outputs deployed to your clients' customers, particularly in regulated industries (healthcare, finance, legal).

9Intellectual Property

The Service, including its software, design, and underlying technology, is owned by Automation Titan and its licensors and is protected by intellectual property laws. These Terms do not grant you ownership of the platform — only a license to use it as described in Section 3. Content you upload (client data, branding, custom copy) remains your property.

10Client Data & Agency Responsibility

As an Agency User, you act as a data controller for your Sub-Account Users' data. You are responsible for obtaining necessary consents, honoring data subject requests, and ensuring your use of the platform complies with data protection laws applicable to your clients (GDPR, CCPA, DPDP Act, etc.). Automation Titan acts as a data processor with respect to this data, processing it only as instructed by you.

11Service Availability & SLA

We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. Enterprise/Black Label plans may include specific SLA commitments documented separately.

12Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or illegal activity. Upon termination, your access to the Service ends, and we may delete your data after the retention period described in our Privacy Policy.

13Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOMATION TITAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

14Indemnification

You agree to indemnify and hold harmless Automation Titan from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including those of your Sub-Account Users.

15Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles, for users contracting from India. For users in the UK, US, or other jurisdictions, applicable consumer protection laws of your jurisdiction may also apply where mandatory. Any disputes shall first be attempted to be resolved through good-faith negotiation, and failing that, through binding arbitration or the courts of competent jurisdiction in Faridabad, Haryana, India, unless otherwise required by local law.

16Changes to Terms

We may revise these Terms from time to time. Material changes will be notified via email or in-app notification at least 15 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
